Over the last year, insolvency professionals have witnessed a proliferation in the number of reverse vesting orders (“RVOs“) sought and approved by courts across Canada. Initially used to preserve licences and tax attributes that would not otherwise be transferrable to a purchaser, the RVO has quickly established itself as a useful tool for effecting transfers in distressed sales. As RVOs continue to increase in popularity, so too do questions about the proper limits of their use.

Join us for an informative half-hour discussion in which our expert panel will share how RVOs have evolved over the last year and provide predictions on what’s to come. We’ll cover, among other things, the following:

  • Scenarios that lend themselves to an RVO structure, rather than a traditional asset sale or a plan.
  • The practical and operational challenges of implementing an RVO from the perspective of the Monitor and the purchaser, including anticipating and dealing with issues with CRA.
  • Recent cases in which RVOs have been contested, including the CCAA proceedings of Quest University, and the relevance of the identity of the objecting creditor to the ultimate success or failure of the objection.
  • The propriety of including third-party releases in an RVO.
  • Criticisms lobbied against RVOs, including that they are offensive to the CCAA regime and inappropriately remove the right to vote on a plan.
